Facts
The appellants in this appeal (“the Petitioners”) have filed a petition against Grand View Hospital (“Grand View”) under s111 of the Companies Act 2011. They allege that the affairs of Cassat Insurance Company Limited (“the Company”) have been conducted in an oppressive manner towards their interests as members of the Company. This is based on Grand View having forced the withdrawal of the Petitioners as shareholders, resulting in Grand View becoming the sole shareholder of the Company. This appeal concerns the Petitioners application for injunctive relief to restrain Grand View from taking steps to sell its own shares in the Company to a third party (“the Buyer”). The Petitioners are seeking an injunction to remain in place until the determination of their unfair prejudice petition. The application for an injunction was refused in the Supreme Court. An interim injunction was granted pending the Petitioners' application for leave to appeal to the Court of Appeal. The Court of Appeal dismissed the Petitioners' appeal. The Court of Appeal then refused the Petitioners' application for a further interim injunction, or stay of the appeal, pending appeal to the Judicial Committee of the Privy Council. The Petitioners now appeal to the Judicial Committee of the Privy Council and renew their application for interim injunctive relief.
